You may use our Services only for lawful purposes and in accordance with these Terms. You agree to comply with all applicable federal, state, local, and international laws and regulations.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZMIKE LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.
You agree to defend, indemnify, and hold harmless BizMike LLC, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through our Services.
You may terminate your use of our Services at any time by discontinuing use and, if applicable, closing your account.
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
Upon termination, your right to use our Services will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms and any disputes arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.
Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Colorado, United States, and you consent to the jurisdiction and venue of such courts.
You agree that any claim or cause of action arising out of or related to these Terms or our Services must be filed within one (1) year after such claim or cause of action arose or be forever barred.
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us concerning our Services.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
We may assign these Terms or any rights hereunder without your consent. You may not assign these Terms or any rights hereunder without our prior written consent.
Our failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, or governmental actions.
